[NL/CH] Distribution agreement governed by Swiss law: securing the rights of a Dutch distributor

Assessing a distribution agreement governed by Swiss law.

Cross-border distribution agreements frequently require businesses to assess contractual rights and risks under a legal system different from their own.

In this matter, a Dutch electronics and accessories company sought advice on a distribution agreement proposed by one of its suppliers. As the agreement was governed by Swiss law, the client needed a clear understanding of its position before entering into the contractual relationship.

DLN members Tessa de Mönnink (the Netherlands) and Renato Bucher (Switzerland) worked together on the matter, combining their respective expertise to assess the proposed agreement and the distributor’s rights under Swiss law.

The coordinated advice enabled the client to evaluate the contractual framework with greater legal certainty and identify potential risks before committing to the agreement.

This project illustrates the value of the Distribution Law Network in giving businesses direct access to specialised local expertise when their commercial relationships extend across jurisdictions.
