Managing termination risks in an established distribution relationship.
Terminating a long-standing distribution agreement can create significant legal exposure, particularly when national rules provide specific protections against abrupt or abusive termination.
In this matter, the termination of a contract between an international supplier and a Belgian distributor raised questions regarding the legal consequences of ending their established commercial relationship and the supplier’s potential exposure under Belgian law.
Acting for the international supplier, DLN members Nicolas Genty and Anthony Bourgery (France) worked with Sandrine Kinart (Belgium) to assess the applicable Belgian legal framework. The analysis focused on the effects of the termination, the potential risk of liability and the requirements applicable to the disruption of established commercial relations.
The coordinated advice gave the supplier a clear understanding of its rights and obligations and helped define an appropriate strategy for managing its ongoing interactions with the Belgian distributor.
This project illustrates the value of combining existing client knowledge with specialised local expertise when a cross-border distribution relationship is brought to an end.
