Structuring a new distribution relationship in the Belgian market.
Entering a new market through a local distributor requires careful planning from the outset, particularly when preliminary documents may already create obligations between the parties.
In this matter, a French fruit juice supplier was preparing to organise the distribution of its products in Belgium through a local distributor. DLN members Nicolas Genty, Anthony Bourgery and Aude Wierre (France) sought the expertise of Sandrine Kinart (Belgium) to assess the proposed structure under Belgian law.
A key first step was analysing the obligations that could arise from the existing letter of intent (LOI). The French and Belgian teams then worked closely to adjust its terms and establish an appropriate framework for the future relationship.
Sandrine Kinart subsequently drafted the distribution agreement and negotiated its terms with the Belgian distributor, supporting the client from the preliminary stage through to the formalisation of the commercial relationship.
This project illustrates how coordinated DLN expertise can support businesses throughout the process of establishing a distribution network in a new European market, from initial negotiations to the final agreement.
