Securing commercial negotiations following a group reorganisation.
Corporate reorganisations can have significant consequences for established commercial relationships, particularly when they alter the position of suppliers within an existing distribution structure.
In this matter, a beverage supplier comprising several sub-suppliers had a contractual relationship with the Belgian entity of a major food distributor. Following a group reorganisation, one of the sub-suppliers found itself negotiating directly and independently with the distributor’s purchasing department.
This new situation raised important questions regarding the applicable pricing conditions and the notice period that would apply in the event of termination of the commercial relationship.
DLN members Sandrine Kinart (Belgium), Nicolas Genty and Jessica Ramond (France) worked together to assess the consequences of the reorganisation under Belgian law and clarify the supplier’s rights and obligations.
Their coordinated advice helped define a strategic approach to the negotiations and provided the supplier with greater legal certainty when dealing with the Belgian purchasing department.
This project illustrates the value of combining local expertise with a coordinated cross-border perspective when changes in corporate structure affect established commercial relationships.
